Midpoint to Acquire Blockchain Technology Company

Aims to Augment Consumer Facing Platform Within Digital Assets Space

LONDON, Dec. 14, 2021 (GLOBE NEWSWIRE) — Midpoint Holdings Ltd (TSXV: MPT) (Frankfurt: 8MH1) (“Midpoint” or the “Company”) is pleased to announce that it has entered into a purchase agreement dated December 14, 2021, pursuant to which the Company proposes to acquire all of the issued and outstanding share capital of Blockchain World Ltd (“BWL”) – a company focused on building innovative consumer-focused blockchain-based products (the “Transaction”). BWL owns premium domain names Blockchain.eu (Europe) and Blockchain.com.au (Australia) and will be launching new offerings in early 2022.

In consideration for the Transaction, Midpoint proposes to issue 10,000,000 common shares (the “Consideration Shares”) to the existing shareholders of BWL (collectively, the “Vendors”). The Consideration Shares will be subject to restrictions on resale until the date which is six (6) months from the closing date of the Transaction.

In addition to the Consideration Shares, the Vendors will also be entitled to receive the following additional common shares (the “Performance Shares”) subject to the satisfaction of the following performance milestones:

(a) 5,000,000 Performance Shares will be issuable to the Vendors upon the official launch of the website domain “blockchain.com.au” (or such earlier date as mutually agreed upon by the parties), in the event such official launch occurs within 9 months of the closing date of the Transaction;

(b) 5,000,000 Performance Shares will be issuable to the Vendors upon the official launch of the website domain “blockchain.eu” (or such earlier date as mutually agreed upon by the parties), in the event such official launch occurs within 9 months of the closing date of the Transaction;

(c) 5,000,000 Performance Shares will be issuable to the Vendors upon the achievement by BWL of CTV or AUM of no less than $20,000,000 within 24 months of the official launch; and

(d) 5,000,000 Performance Shares will be issuable to the Vendors upon the achievement by BWL of CTV or AUM of no less than $50,000,000 within 30 months of the occurrence of the official launch.

“CTV” means the cumulative gross transaction value of all digital currency transactions processed through website domains maintained by BWL, for a given period, calculated in $CAD.

“AUM” means the total amount of digital currency held by the custodial wallet of all customers of BWL, as calculated on the last business day of any particular month based on the average market price of the applicable currency during such day.

BWL was founded by Domenic Carosa as a B2C (“Business to Consumer”) blockchain-focused product organization. Domenic is a highly regarded entrepreneur and early adopter of blockchain technology. Notably, he is the Founder and Chairman of Banxa Holdings Inc. (TSXV: BNXA) and Cryptocurrency fund Apollo Capital. Through Domenic’s stewardship, Banxa has achieved significant transactional revenue growth alongside increased partnership roll-outs. Upon successful completion of the Transaction, Domenic Carosa will join the Midpoint board of directors and Derek Ivany will step down as a director to accommodate the appointment.

Chana protesters agree to end rally after cabinet amends published resolutions

Protesters fighting the industrial estate project in Chana district of Thailand’s Songkhla province agreed to return home this morning (Wednesday), after the cabinet decision to suspend the project and to assign the National Economic and Social Development Council (NESDC) to run the strategic environmental impact assessment (SEA) was finally published in the government’s website last night.

Prasitthichai Nunual, secretary-general of the coordinating committee of Civil Society Organisations of Southern Thailand, representing the protesters in negotiations with the government, said that the protesters were not satisfied and vowed to carry on with their protest when the cabinet resolutions, initially released at about 7pm last night, did not include the Chana industrial estate issue.

He said that the protesters would not trust the government unless they see the cabinet decision on the Chana industrial estate published in the resolutions, because they do not want to see a repeat of the memorandum of understanding (MoU), which was agreed between protester representatives and then Deputy Agriculture Minister Thammanat Prompao in April, but was rejected by Prime Minister Prayut Chan-o-Cha, claiming the MoU had not been endorsed by the cabinet.

Prasitthichai also said that he notified government officials of the protesters’ concern and unwillingness to disperse, until the cabinet resolution were amended to include the decision on the controversial project.

Subsequently, a revised version of the cabinet resolutions was released via the government’s website, which satisfied the protesters.

A leader of the “Save Chana” youth network told the protesters this morning that the cabinet decision to suspend the project, until the completion of the SEA, is a “bridge” which will lead to their victory in the end.

The SEA is expected to take about a year.

The protesters, who camped out in front of Government House last night, started packing up this morning and are returning to Chana district in buses provided by the government. They were seen off by Deputy Permanent Secretary of the Prime Minister’s Office Mongkolchai Somudon.

The prime minister thanked the Chana people today, both those who agree with and those who oppose the project, for the peaceful end to the weeklong protest.

He then pleaded with all stakeholders to follow the law and to ensure transparency in the implementation of the project.

Blinken Postpones Thailand Trip after Member of US Traveling Press Tests Positive for COVID-19

U.S. Secretary of State Antony Blinken postponed his scheduled visit to Thailand Wednesday because a member of the traveling U.S. press team tested positive for COVID-19.

Blinken was set to leave Malaysia for Thailand Thursday as part of a U.S. effort to strengthen relations in a region where China’s influence continues to grow.

Wednesday’s development forced the top U.S. diplomat to cut short his first Southeast Asia trip since U.S. President Joe Biden took office in January. The trip began with a visit to the Indonesian capital of Jakarta.

Blinken informed Thai Deputy Prime Minister and Foreign Minister Don Pramudwinai of his decision Wednesday not to visit as scheduled, according to U.S. State Department spokesman Ned Price.

“He explained that, in order to mitigate the risk of the spread of COVID-19 and to prioritize the health and safety of the U.S. traveling party and those they would otherwise come into contact with, the Secretary would be returning to Washington, D.C. out of an abundance of caution,” Price said in a statement.

Price said Blinken invited Thailand’s foreign minister to visit Washington “at the earliest opportunity and noted that he looked forward to traveling to Thailand as soon as possible.”

The U.S. embassy in Kuala Lumpur said in a statement it informed the Malaysian government of the infection and confirmed the other members of the U.S. traveling group tested negative when they arrived in Malaysia.

Thai parliament votes down bills aimed at rescinding junta’s post-coup orders

Thailand’s House of Representatives today (Wednesday) rejected two bills aimed at repealing all announcements and orders, deemed to be violations of the principles of human rights and democracy, issued by the military junta, officially known as the National Council for Peace and Order (NCPO).

One of the bills was proposed by Director of Internet Law Reform Dialogue (iLaw) Jon Ungphakorn and seconded by 12,609 eligible voters. The other was proposed by a leader of the Progressive Movement, Piyabutr Saengkanokkul, and associates.

The House voted 234:162 to reject Jon’s bill, with three abstentions.

Piyabutr’s bill was voted down 229:157, with four abstentions.

The junta, led by General Prayut Chan-o-Cha, who is still the country’s prime minister, overthrew a caretaker government on May 22nd, 2014, following prime minister Yingluck Shinawatra’s impeachment.

US Examining Additional Measure to Pressure Myanmar Junta

U.S. Secretary of State Antony Blinken said Wednesday it is necessary to look at applying additional measures against Myanmar where 10 months after a military coup “the crisis has only continued to worsen.”

Speaking to reporters alongside Malaysian Foreign Minister Saifuddin Abdullah during a visit to Kuala Lumpur, Blinken said the goal of actions by individual countries or a collective effort would be to “pressure the regime to put the country back on a democratic trajectory.”

He cited several specific goals, including an end to violence, the release of prisoners and access for humanitarian workers.

“ASEAN has a five-point consensus plan that the junta agreed to and signed on to,” Blinken said, referencing the Association of Southeast Asian Nations. “That plan needs to be implemented.”

Saifuddin said the situation in Myanmar will be an important part of the agenda when ASEAN foreign ministers meet next month and that a more detailed plan for the roadmap is necessary.

“We should be looking at what are the real next steps,” he said. “We have the five-point consensus, but we do not identify exactly when certain things need to be achieved and how. So, outlining the actual steps and the actual milestones as to the dates and outcomes would be, I believe, an important position that we will try and arrive at during our meeting.”

Saifuddin expressed the need to take action, highlighting the spillover effects to Myanmar’s neighbors such as the number of Rohingya refugees being hosted in Bangladesh and Malaysia.

“I understand that we celebrate the principles of non-interference, but if I can reiterate what I had said earlier, ASEAN should also look at the principle of non-indifference because what is happening in Myanmar is already getting out of Myanmar,” he said.

Blinken’s visit to Malaysia also includes a meeting with Prime Minister Dato’ Sri Ismail Sabri bin, as well as talking with representatives from Malaysia’s energy sector about clean energy reforms and an event with people involved with the Malaysian Young Southeast Asia Leadership Initiative.

He travels Thursday to Thailand.

Well-known Thai hunger striker Chalard Worachat dies of heart attack

Serial hunger striker Chalard Worachat died late last night of a heart attack at his home in Bangkok.

Family members said that his body will be moved to Nonthaburi province for the funeral.

The 78-year old former Democrat MP, for Trat province in 1979 and for Bangkok in 1986, left to join Mass Party as its deputy leader. He subsequently resigned from the party to engage in extra-parliamentary politics, with hunger strikes becoming his trademark.

Before the “Black May” incident in 1992, Chalard staged a solo hunger strike in front of parliament to protest against then Prime Minister Suchinda Kraprayoon. He vowed to fast to his death, but his threat was ignored.

He also staged a hunger strike to protest against the coup, which toppled the government of then Prime Minister Thaksin Shinawatra, on September 19th, 2006.

Again, after the coup that toppled the government of Prime Minister Yingluck Shinawatra on May 22nd, 2014, Chalard staged a hunger strike for 45 days, consuming only honey and water. He eventually gave up due to poor health.

Military Helicopter Crashes In Thailand, Two Killed

BANGKOK, A Thai helicopter, on a military training flight, crashed yesterday, killing both crew onboard, local media reported.

The helicopter, flying with other helicopters on the training flight, from Army Aviation Centre in Lop Buri province, caught fire and crashed, about 9:40 a.m. in the neighbouring province of Nakhon Sawan, local media cited an army source as saying.

An investigation has been launched, and investigators have arrived at the site.

Refugees at Tak border camp in destructive protest against alleged assault by volunteers

Myanmar refugees went on the rampage at a camp in Thailand’s western province of Tak on Tuesday night, torching checkpoints and vehicles, in protest against the detention and alleged assault by Thai defence volunteers of four of their countrymen who snuck out of the camp to find work.

After the disturbance, which occurred shortly after sunset, there was a tense standoff between a group of refugees and defence volunteers, until the late-night arrival of Somchai Kitcharoenrungroj, the province’s deputy governor, to negotiate with the protesters.

This morning, units of paramilitary rangers and riot police from Mae Ramat district were dispatched to the camp to reinforce the volunteers and local officials.

Initial reports said several checkpoints, stores operated by the volunteers, cars and motorcycles were burned.

A defence volunteer said that travel restrictions, which prohibit the refugees from leaving the camp without authorisation to contain the spread of COVID-19, have led to resentment among some of the around 30,000 refugees in the camp.
