SEC Orders JKN to Revise 2023 Financial Statements Amid Allegations


Bangkok: The SEC has notified JKN to amend its financial statements for 2023, including the affected comparative periods, and to submit the revised financial statements that have been audited by the auditor to the SEC and disclose them to the public via the SETLink system by July 11, 2025.



According to Thai News Agency, the Securities and Exchange Commission (SEC) lodged a complaint against JKN Global Group Public Company Limited (JKN) and its former directors with the Department of Special Investigation (DSI). The complaint, referenced in SEC News No. 139/2568 dated June 5, 2025, accuses the company and individuals of jointly committing or consenting to the posting of false statements and/or incomplete, incorrect, and untrue accounting in JKN’s 2023 financial statements and accounting documents for the first quarter of 2024. These actions were allegedly intended to deceive and involved submitting or disclosing the 2023 financial statements and the annual information filing form (Form 56-1 One Report) with false financial data. The SEC claims these actions violate Section 312 and Section 281/10 in conjunction with Section 300 of the Securities and Exchange Act B.E. 2535.



The SEC has instructed JKN to make corrections to the financial statements in areas affected by the case, including creditors, debtors, sales and purchases of licenses, and other related items, ensuring accuracy and truthfulness. The revised financial statements, audited by an approved auditor, must be submitted to the SEC, along with the disclosure report of related information as required under Section 56 of the Securities Act. The revised documents are to be made public through the Stock Exchange of Thailand’s listed company information disclosure system (SETLink system) by the specified deadline.
